Welcome to THEORIE. The terms “we,” “us,” and “our” refer to THEORIE and, where applicable, its parent company, HAUTEHOUSE Brands, LLC. THEORIE operates this store and website, including all related information, content, features, tools, products, and services, in order to provide you with a curated shopping experience (the “Services”). THEORIE is powered by Shopify, which enables us to provide the Services to you.

These Terms of Service, together with any policies referenced herein (these “Terms”), describe your rights and responsibilities when you use the Services. By visiting, interacting with, or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you should not use or access the Services.

Your order is not accepted until THEORIE confirms acceptance and processes payment. Please review your order carefully before submitting it, as we may be unable to accommodate cancellation requests after an order has been accepted or processed.

Your purchases are subject to return, exchange, or refund solely in accordance with our Refund Policy. You represent and warrant that your purchases are for personal or household use and not for commercial resale, redistribution, or export unless expressly authorized by us in writing.

If we are unable to ship within the timeframe stated at the time of order, we may notify you of the delay and provide options available under applicable law, which may include a revised shipping date, cancellation, or refund for any unshipped items.

Except as otherwise required by law, title to products passes to you when we deliver the products to the carrier, and risk of loss transfers to you upon that delivery to the carrier.

If international shipping is made available, you are responsible for complying with the laws of the destination country. Unless otherwise stated, you are the importer of record and are responsible for any customs duties, taxes, brokerage fees, import fees, and similar charges associated with your order.

We are not responsible for delays caused by customs clearance, destination-country restrictions, or local delivery providers. If an international shipment is refused, abandoned, or returned due to unpaid duties or restricted-item rules, any refund may be reduced by shipping charges, return charges, and other costs incurred by us.

THEORIE is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our store are made directly with THEORIE. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sale between you and THEORIE, including any injury, damage, or loss resulting from purchased products or services. You hereby expressly release Shopify and its affiliates from claims, damages, and liabilities arising from or related to your purchases and transactions with THEORIE.

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT SHALL THEORIE, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, SERVICE PROVIDERS, LICENSORS, OR SHOPIFY AND ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, SAVINGS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES OR ANY PRODUCTS PROCURED THROUGH THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

You agree to indemnify, defend, and hold harmless THEORIE, Shopify, and their respective affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from and against any losses, damages, liabilities, claims, or expenses, including reasonable attorneys’ fees, arising out of or related to your breach of these Terms, your violation of law, or your violation of the rights of any third party.

If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision shall be enforced to the fullest extent permitted by law and the unenforceable portion shall be deemed severed from these Terms without affecting the validity and enforceability of the remaining provisions.

You and THEORIE consent to the exclusive jurisdiction and venue of the state courts located in Broward County, Florida, and the federal courts serving that district, for any dispute arising out of or relating to the Services or these Terms, except as otherwise required by applicable law.

THEORIE SMS Program

The THEORIE mobile message service (the “Service”) is operated by THEORIE (“THEORIE,” “we,” or “us”). Your use of the Service constitutes your agreement to these Mobile Terms. We may modify or cancel the Service or its features at any time, subject to applicable law.

Consent to Receive Messages

By opting in to THEORIE’s SMS/text messaging service, you agree to receive recurring text messages from and on behalf of THEORIE at the mobile number you provided, including messages sent using an automatic telephone dialing system or similar technology where permitted by law. Promotional messages may include promotions, specials, launches, offers, and cart reminders.

Your consent is not a condition of purchase, and participation is completely voluntary. Your consent applies only to THEORIE and the specific messaging program for which you enrolled.

Message Frequency and Charges

Message frequency varies. We do not charge for the Service, but message and data rates may apply. You are solely responsible for all charges imposed by your wireless provider related to SMS or text messaging.

How to Opt Out

You may opt out of the Service at any time by texting STOP to +1 855.976.1130 or by using the unsubscribe link, where available, in a text message. You will receive a one-time opt-out confirmation message. After that, no further messages will be sent through that program unless initiated by you or until you opt back in.

Number Changes and Carrier Issues

We may change any short code or telephone number we use to operate the Service at any time and will notify you of such changes where required. You acknowledge that messages you send to a number we no longer use, including STOP or HELP requests, may not be received.

Wireless carriers are not liable for delayed or undelivered messages. If you change or deactivate your mobile number, you agree to notify us promptly or opt out before the change takes effect.
